Agreement

Hereafter, Model Decor™, Website DecorŪ, and their assigns are referred to as THE PROVIDER.

For good consideration of $99 payable to Website Decor in US currency, the PROVIDER will create and maintain for one year (365 calendar days, or 366 in a leap-year) a one page website located within an internet domain of the PROVIDER using CLIENT stage name and information provided in the table above. This website will contain up to 15 photographs supplied by CLIENT either in electronic format or other digital format readable by PROVIDER. CLIENT agrees that PROVIDER will not retouch any of the photographs submitted except to size for website presentation and that the quality of the images will be as provided without retouch.

Retouch is defined as changing the lighting, contrast, color, and any other direct physical manipulation of the images provided other than sizing for web page presentation.

BAD CHECK
CLIENT agrees that if the payment method submitted to PROVIDER is not honored by the bank upon which such payment is drawn, CLIENT will resubmit payment of the consideration plus a returned check charge of $35 in US currency and that PROVIDER will disable CLIENT webpage until such payment is rendered. CLIENT will have a legal liability to make full payment to PROVIDER for work completed.

BROWSER COMPRESSION
CLIENT recognizes that some internet browser software and some internet service providers incorporate automatic compression of graphics to minimize download time and bandwidth requirements and CLIENT agrees to hold PROVIDER harmless for such compression requirements of software or unrelated parties.

SERVICE PERFORMANCE
PROVIDER agrees to complete the CLIENT webpage within three business (3) days of receipt of payment from CLIENT's financial institution for the service and this signed agreement, whether the images are submitted electronically or by postal mail. CLIENT holds PROVIDER harmless for delays in postal service delivery and for lost or misdirected mail.

FEES and NO COMMISSION AGREEMENT
CLIENT agrees to maintain an active email account (see above) for communication with the PROVIDER. CLIENT will pay for each year of webpage service not less than fifteen (15) days prior to the expiration of the existing year. Failure to submit payment timely will result in PROVIDER removing CLIENT webpage on the day of expiration.

PROVIDER agrees that no commissions are due to PROVIDER for any work CLIENT receives as a result of this webpage. CLIENT agrees to allow PROVIDER to include photographs from CLIENT webpage in promotional efforts to improve the readership of PROVIDER website. CLIENT agrees that such promotional efforts are not a guarantee of future work and that PROVIDER has no obligation to guarantee future work. CLIENT understands that promotion of the PROVIDER website will be to major markets for modeling purposes and agrees that PROVIDER does not guarantee inclusion of CLIENT photographs in promotional activities.

WEBPAGE DESIGN and WEBSITE FUNCTION
CLIENT agrees that PROVIDER is responsible only to create and maintain CLIENT webpage with submitted photographs and text information above. Photographs will be sized for website presentation and will include thumbnails of approximate dimensions of 180 by 230 pixels which, when clicked, will expand to images of approximate dimensions of 375 by 475 pixels. CLIENT webpage will include a large photograph of approximately 375 by 475 pixels on the main page as well as thumbnails and an online form with a submit button which will email results of the form to CLIENT email address (see above). PROVIDER will maintain the navigation and identification of the hosting domain name for all webpages created.

CLIENT agrees that no blatant nudity or material recognized by a reasonable person as adult or hard-core pornography in nature will be included in any webpage. Any glamour, figure, body part, swimsuit, or lingerie photographs must include sufficient coverage of body parts so as to obscure sexual organs.

CLIENT agrees that PROVIDER is not responsible for the internet service which hosts CLIENT email account and therefore is not responsible for lost or misdirected email.

CLIENT agrees that PROVIDER will not retain information on visitors to CLIENT webpage in the form of cookies or other electronic data. CLIENT agrees that PROVIDER will frequently discard, delete, or otherwise destroy logs of traffic to CLIENT webpage in order to minimize space requirements of the domain hosting CLIENT webpage. PROVIDER will use logs of traffic only for the purposes of domain management and will not use such logs for any other purpose.

CLIENT agrees that PROVIDER will use a hosting service for the domain hosting the CLIENT webpage and that PROVIDER will not be liable for any failure of the hosting service for temporary disruptions of service. PROVIDER will agree to maintain a hosting service that provides minimal disruptions of service that are equal to or better than industry standard.

PROVIDER will not be liable for any failure of CLIENT to promptly respond to visitor inquiries on CLIENT webpage.

PROVIDER in any circumstance regarding CLIENT webpage functionality and operation will only be liable to the amount of the consideration and will have the option of specific performance to correct any errors or disfunction of the Website.

PROVIDER agrees to allow CLIENT to use CLIENT website URL on all forms of self promotion including print forms as well as internet presentations with hyperlinks and email.

COPYRIGHT AGREEMENT
CLIENT agrees to provide recognition to the photographer for all photographs submitted to PROVIDER regardless of method used to submit. CLIENT agrees to follow all agreements CLIENT has made with photographers and to inform PROVIDER of any copyright or credit agreed with photographers. CLIENT further agrees to hold harmless and forever vigorously defend PROVIDER and its assigns from any claims of copyright infringement or other infringement of agreement made between CLIENT and other parties at no cost to PROVIDER. PROVIDER retains a copyright for the design and layout of the webpage.

LIABILITY
CLIENT is responsible for all representations made on the Website and agrees to indemnify PROVIDER regarding misstatements of fact regarding any charges of misrepresentation by third parties.

Neither CLIENT nor PROVIDER will be responsible for damages resulting from acts of God or acts of war, whether declared or undeclared.

CLIENT agrees that any irreconcilable disagreement arising between CLIENT and PROVIDER will be addressed by arbitration under the laws of the State of Tennessee. CLIENT hereby waives any litigation in a court of law.

This agreement will be governed by the laws of the State of Tennessee.

CLIENT agrees to indemnify PROVIDER from damages resulting from activities of "hackers" provided reasonable security procedures have been instituted.

SEVERABILITY and GOVERNING LAW
Each provision of this agreement is severable and the denial of any provision by legal jurisdiction does not invalidate any other provision of this agreement.
